1. Agreement and provider
These Terms govern your access to and use of the Options Wheelhouse website, downloadable software, modules, licenses, and related support (collectively, the “Service”). The Service is provided by Slash TL LLC, a Texas single-member limited liability company doing business as Options Wheelhouse, with a public mailing address at [PUBLIC BUSINESS MAILING ADDRESS — ADD BEFORE LAUNCH] (“Options Wheelhouse,” “we,” “us,” or “our”). By purchasing, downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old, legally capable of entering a binding agreement, and permitted to use the Service under applicable law. The Service is intended for self-directed adults using a supported paper-trading account. You are responsible for your equipment, internet access, broker account, and compliance with broker terms.
3. Educational software; no regulated services
Options Wheelhouse provides general-purpose software for education, research, workflow automation, and simulated trading. We are not a broker-dealer, introducing broker, investment adviser, commodity trading adviser, exchange, bank, custodian, tax adviser, law firm, or fiduciary. We do not hold customer funds or securities, execute live-money orders, provide personalized recommendations, or determine whether a strategy is suitable for you. Software output is not investment, legal, tax, or accounting advice.
4. Paper-only scope
The current release is designed to submit orders only to Alpaca Paper. Other brokers or live environments may be displayed for planning or comparison but are not enabled for execution. You may not bypass, disable, modify, or misrepresent paper-only safeguards. Paper trading is a simulation and may differ materially from live trading.
5. Accounts and security
You are responsible for protecting your computer, vault passphrase, API credentials, and backups. You must use only accounts you own or are expressly authorized to access. Notify us at support@optionswheelhouse.com if you believe the Service or a delivered license has been compromised. We cannot recover a lost vault passphrase.
6. License
Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the purchased software modules for personal or internal business purposes. One-time module purchases are licensed for the supported version identified at purchase; they do not necessarily include future major versions, hosted services, or unrelated modules. Subscription features are licensed only while the applicable subscription is active.
7. Acceptable use
You may not: use the Service unlawfully; provide it as a bureau or resale service; share or sell license keys; defeat entitlement or usage controls; probe or interfere with security; introduce malicious code; reverse engineer except where applicable law expressly permits it; use the Service to access another person’s account; or claim that Options Wheelhouse guarantees returns or is endorsed by a broker.
8. Purchases, renewals, and taxes
Prices are shown in U.S. dollars unless stated otherwise. You authorize our payment processor to charge the displayed amount and applicable taxes. One-time products are charged once. Subscriptions renew automatically at the disclosed interval until canceled. You may cancel a subscription before the next renewal through the method shown in your receipt or by contacting support. Cancellation stops future renewals and does not retroactively refund the current period except as required by law or our Refund Policy.
9. Updates and availability
We may add, change, suspend, or discontinue features to maintain security, comply with law, or improve the Service. Local operation, broker APIs, market-data access, and third-party services can be interrupted. We do not guarantee uninterrupted availability, compatibility with every system, or continued access to any third-party API.
10. Third-party services
Brokerages, payment processors, market-data providers, and linked websites are independent third parties governed by their own terms and privacy policies. Options Wheelhouse is not affiliated with or endorsed by Alpaca, Tradier, or Interactive Brokers unless expressly stated. We are not responsible for third-party outages, data, decisions, fees, or acts.
11. Intellectual property and feedback
The Service, branding, interfaces, and documentation are owned by us or our licensors and protected by intellectual-property laws. These Terms grant only the license stated above. If you provide feedback, you grant us a worldwide, perpetual, royalty-free right to use it without restriction or compensation.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RESULTS, OR RELIABILITY. WE DO NOT WARRANT THAT OUTPUT IS COMPLETE, CURRENT, ERROR-FREE, OR SUITABLE FOR LIVE TRADING. NO STRATEGY OR SOFTWARE CAN GUARANTEE PROFIT OR PREVENT LOSS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHEELHOUSE AND ITS OWNERS, PERSONNEL, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITIES; TRADING LOSSES; OR UNAUTHORIZED ACCOUNT ACCESS. OUR TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID US FOR THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT. Some jurisdictions do not allow certain exclusions, so portions of this section may not apply.
14. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Options Wheelhouse and its owners, personnel, and suppliers from claims, damages, and expenses arising from your misuse of the Service, violation of these Terms, infringement of another’s rights, or use of broker accounts without authorization.
15. Termination
You may stop using the Service at any time. We may suspend or terminate access or licenses if you materially breach these Terms, commit fraud, create security or legal risk, or fail to pay. Sections that by nature should survive—including ownership, disclaimers, liability limits, and dispute terms—survive termination.
16. Governing law and disputes
These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law rules. State and federal courts of competent jurisdiction in Texas will have jurisdiction, unless applicable consumer law requires otherwise. Before filing a claim, each party agrees to give 30 days’ written notice and attempt informal resolution.
17. Changes
We may update these Terms. Material changes will be posted with a new effective date and, where required, additional notice. Continued use after the effective date constitutes acceptance, except where law requires affirmative consent.
